As Luxembourg is often used to set up financial participation companies (Soparfi) that hold shares in international groups we are often involved in major international M&A deals. Our involvement will generally consist in negotiating and drafting share purchase agreements (either for the seller or the buyer), performing due diligence, providing tax advice, drafting legal opinion letters. If financing is involved we will prepare or review the security instruments such as share pledge agreements, shareholders guarantees, fiduciary agreement, etc
We are also involved in national M&A matters involving local players in various sectors.
Examples of deals comprise:
- representation of the purchaser in the negotiation leading to the purchase of shares in a Soparfi (financial participation company) holding participations in a telecommunications operator in Western Africa.
- assisting a Luxembourg telecommunication operator for the acquisition of another telecommunication operator providing residential and SME telecommunications services in Luxembourg. Our assistance included the performance of due diligence, the management of regulatory matters, and the drafting the legal documentation required to arrange the transfer of shares.
- representation of a car manufacturer in the acquisition of car dealers in Luxembourg. Our involvement consisted in performing due diligence, assist in the negotiation of the terms sheet and thereafter in the share purchase agreement; address environmental issues relating to the acquisition and operation of an industrial site.
